Terms and Conditions

These Life Academy Ambassador Program Terms and Conditions (the “Terms and Conditions”) are developed to ensure the effective and compliant promotion of the products of Life Academy through this program. They are entered into by and between SMBH FZCO, a company registered in the IFZA Dubai area within Dubai Silicon Oasis, Dubai, United Arab Emirates (UAE), ​​registration number: DSO-FZCO-26877 (the “Company”) and the individual or legal entity participating in the Life Academy Ambassador Program (the “Ambassador”). By participating in the Ambassador Program, the Ambassador agrees to be bound by these Terms and Conditions.

1. Enrollment in the Ambassador Program:

1.1. The Ambassador must apply to the Ambassador Program through the Company’s designated application process. The Company reserves the right to accept or reject any application in its sole discretion, and to modify the application process from time to time.

1.2. The individual or the representative of the legal entity willing to participate in the Ambassador program must be at legal age.

1.3. By enrolling in the program, the applicant for the Ambassador program shall undergo the compulsory Due Diligence and KYC checks performed by the Company, which can imply the request for the following documents, but not limited to Identification document (ID, Passport), bank information, bylaws (in case of legal entities), proof of address, and any other information or documentation that may be considered by the Company.

1.4. The individual or legal entity applying for the Ambassador program must have sufficient media coverage to promote the products of Life Academy effectively. In such a sense, the applicant should provide proof of such coverage and audience (e.g. screenshots from Google Analytics, Instagram account statistics, etc.) for the review of the Company

1.5. Once accepted into the Ambassador Program, the Ambassador will receive a unique Ambassador link or code (the “Ambassador Link”) to promote the Company’s products and services.

2. Ambassador Responsibilities:

Notwithstanding other responsibilities described in this Terms and Conditions, the Ambassador agrees to the following:

2.1. To promote Company’s products or services in compliance with these Terms and Conditions, and all applicable laws, regulations, and guidelines.

2.2. To not engage in any illegal, deceptive, or unethical marketing practices in promoting the Company’s products or services, as well as it shall not use the Company’s products to initiate or support such activities.

2.3. To be responsible for all content and materials used in promoting the Company’s products or services, including but not limited to websites, social media posts, advertisements, and email marketing campaigns.

3. Benefits:

3.1. For participation in the Ambassador Program, the Ambassador will be entitled to earn benefits on qualifying sales generated through Ambassador’s unique Ambassador Link. The benefit rate and eligibility criteria shall be determined by the Company and communicated to the Ambassador by the Company.

3.2. The amount of the benefit will be based on the Ambassador’s payout tier:

3.2.1. BASIC payout tier equals 10% of the sales and is applied to all new Ambassadors when they enter the program.

3.2.2. STANDARD payout tier equals 15% of the sales and is applied to all Ambassadors who have introduced more than 10 customers to the Company lifetime.

3.2.3. ADVANCED payout tier equals 25% of the sales and is applied to all Ambassadors who have introduced more than 50 customers to the Company lifetime.

3.2.4. PREMIUM payout tier equals 35% of the sales and is applied to all Ambassadors who have introduced more than 250 customers to the Company lifetime.

3.2.5. VIP payout tier equals 50% of the sales and is applied to all Ambassadors who have introduced more than 500 customers to the Company lifetime.

3.3. Client is considered a person who registered using the Ambassador’s link and purchased any of the products of Life Academy available in www.lifeacademy.com. The link will allow to identify the introduced customer in the system.

3.4. If the client already exists at the Company and then uses the Ambassador link to register again it will not be considered as the client introduced by the Ambassador. The decision in such cases is solely on the Company based on the client’s activity and acquisition history.

3.5. Ambassador is considered Active only if it brings at least 1 (one) new customer this month. If the Ambassador is not Active this month the Company reserves the right to freeze the payment of the Ambassador’s benefits.

3.6. The Company has a right to solely terminate or change the payout tier of the specific Ambassador if it suspects any fraudulent activity or violation of the Terms and Conditions of the program for all Ambassador’s traffic of customers or part of its traffic.

3.7. The Ambassador shall receive the benefits for the introduced customer during 6 (six) calendar months after the customer’s registration in Life Academy. After 6 (six) months pass after the customer’s registration, the Ambassador will not have any benefit for the customer’s purchases on the Company website.

3.8. Benefits will be paid out regularly as determined by the Company. The payment method and threshold will also be determined by the Company and communicated to the Ambassador.

3.9. Ambassador benefits are subject to adjustment or withholding at the Company’s discretion in cases of returns, chargebacks, or fraudulent activity.

3.10. The Company has a right to make changes to the benefit payout % and the criteria for tier application; the changes enter force on the 1st day of the next month after the update of the current Terms.

4. Due Diligence and KYC:

4.1. Ambassador acknowledges and agrees to comply with all due diligence and Know Your Customer (KYC) requirements as may be required by the Company from time to time even after the application process has been completed.

4.2. The Company reserves the right to conduct background checks and verification procedures on the Ambassador to ensure compliance with legal and regulatory requirements.Ambassador shall promptly provide any information or documentation requested by the Company for the purpose of due diligence or KYC verification, including but not limited to proof of identity, business registration documents, and banking information.

4.3. The Company reserves the right to conduct background checks and verification procedures on the Ambassador to ensure compliance with legal and regulatory requirements.

4.4. Failure to comply with due diligence or KYC requirements may result in suspension or termination of the Ambassador’s participation in the Ambassador Program, at the Company’s sole discretion.

4.5. Ambassador acknowledges that the Company may share the information provided by Ambassador with third-party service providers for the purpose of due diligence and KYC verification.

4.6. Ambassador agrees to indemnify and hold harmless the Company from any losses, damages, or liabilities arising out of or related to Ambassador’s Failure to comply with due diligence or KYC requirements.

5. Program Conditions and Limitations:

5.1. The Ambassador cannot claim any benefits from the sales of the Company’s products generated not through its Ambassador Link.

5.2. In the exceptional cases of the customer’s mistakes in usage of the Ambassador links, while purchasing the Company’s products or registering at the Company’s platforms, the Ambassador can apply for the claiming of this customer and provide sufficient proof that the customer was attracted by the Ambassador. The Company will review the provided proof but reserves the right to approve or reject the application at its sole discretion.

5.3. The Ambassador of the Company does not automatically become the Ambassador of any other companies that have partnership agreements with the Company.

5.4. The Ambassador of Life Academy cannot simultaneously be an ambassador, partner or affiliate of any other organisation that is already a partner of the Company (e.g. brokers, banks, institutions, etc.).

6. Intellectual Property:

6.1. Company grants Ambassador a limited, non-exclusive, non-transferable licence to use Company’s trademarks, logos, and marketing materials solely for the purpose of promoting Company’s products or services as part of the Ambassador Program.

6.2. Ambassador shall not modify, alter, or misuse the Company’s trademarks, logos, or marketing materials in any way. Any wrongful use of Life Academy Brand should be considered a breach to this Terms and Conditions. In such a case the Company will be entitled to terminate the Agreement immediately.

7. Termination:

7.1. The Company may terminate the Ambassador program at any time and without Ambassador’s consent. In addition, either party may terminate these Terms and Conditions at any time, with or without cause, by giving written notice to the other party.

7.2. Upon termination, the Ambassador shall immediately cease all promotion of the Company’s products or services and remove all Company-related content from the Ambassador’s platforms.

7.3. Upon termination of the Ambassador agreement, the Ambassador will not be entitled to receive benefits for the customers who register with the Ambassador link after the termination notice.

8. Limitation of Liability:

In no event shall either party be liable to the other party for any indirect, consequential, special, or punitive damages arising from or related to these Terms and Conditions or the Ambassador Program.

9. Miscellaneous:

9.1. These Terms constitute the entire agreement between the parties regarding the Ambassador Program and supersede all prior agreements and understandings, whether written or oral.

9.2. These Terms shall be governed by and construed following the laws of Dubai, United Arab Emirates (UAE), without regard to its conflict of law principles.

By participating in the Ambassador Program, the Ambassador acknowledges that he/she has read, understood and agrees to be bound by the full Terms and Conditions, that he/she is of legal age and has the capacity to carry out such activity in his/her country.
